Terms of Service

These Terms of Service ("Terms") govern access to and use of Consentfolio (the "Service"), provided by Tudor N. Rusmanica, a sole trader established in the United Kingdom, trading as Consentfolio ("Consentfolio", "we", "us"). By creating an account or using the Service, you ("customer", "you") agree to these Terms. You can contact us about these Terms at [email protected].

1. Acceptance

By signing up for, accessing, or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you confirm you have authority to bind that organization, and "you" refers to that organization.

2. Description of the Service

Consentfolio is a cookie-consent-as-a-service platform. It provides a hosted consent banner, configuration tools, consent-receipt storage, and related features (including Google Consent Mode v2 integration) that help customers obtain, record, and demonstrate cookie and tracking consent from visitors to the customer's own website(s).

3. Accounts & eligibility

  • You must provide accurate account information and keep it up to date.
  • You are responsible for maintaining the security of your account credentials and for all activity under your account.
  • The Service is for business use. You must be at least 18 and able to enter into a binding contract. The Service is not directed at children under 16.

4. Subscriptions & billing

  • Consentfolio is offered on per-domain subscription plans, billed monthly. The applicable plan and price are the ones shown to you at checkout — these Terms do not fix specific prices, which may change; we will give you reasonable notice of price changes before they take effect on your account.
  • Billing is handled by our payment processor, Stripe. We do not see or store your full card number.
  • Subscriptions auto-renew each billing period unless cancelled.
  • Cancellation takes effect at the end of the then-current billing period; you retain access through the period you've already paid for, and we do not provide pro-rated refunds for a period already underway unless required by law or stated otherwise at checkout.
  • If a payment fails, the Service is not suspended immediately: your account enters a grace period, during which we will attempt to notify you and recover payment. If payment remains unresolved past the end of the grace period (currently 5 days), the Consentfolio banner will stop serving on the affected domain(s) until payment is resolved or the subscription is otherwise reinstated or cancelled.

5. Acceptable use

You agree not to:

  • Use the Service to facilitate unlawful tracking, or to misrepresent to your own website visitors the choices actually being honored by your configuration.
  • Attempt to interfere with, disrupt, reverse-engineer, or gain unauthorized access to the Service or its infrastructure.
  • Use the Service in a way that infringes the rights of others or violates applicable law.
  • Resell or white-label the Service without our prior written agreement.

6. Customer responsibilities

As between you and Consentfolio, you are the data controller for personal data collected from your own website visitors, including consent records processed through Consentfolio on your behalf (see our DPA). You are responsible for:

  • Having a lawful basis for any processing and tracking carried out on your website.
  • Configuring Consentfolio accurately — including cookie/script declarations, category descriptions, and purpose text — so that what your visitors are told matches what actually runs on your site.
  • Determining what consent, disclosure, and banner behavior your website legally requires; Consentfolio does not make this determination for you (see Not legal advice below).
  • Your own compliance with GDPR, PECR/ePrivacy, and any other laws applicable to your website and its visitors.

7. Intellectual property

  • Consentfolio owns the Service, including its software, banner technology, documentation, and branding. Nothing in these Terms transfers ownership of the Service to you.
  • You own your own content and configuration — including your cookie/category declarations, purpose text, branding choices within the banner customizer, and any data you upload or configure.
  • We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, solely for your own website(s) as permitted by your plan.

8. Important disclaimers

Consentfolio is a tool that helps with compliance; it does not make your website compliant, and we do not and cannot guarantee that it does. Consentfolio helps you obtain, record, and demonstrate visitor consent, and integrates with Google Consent Mode v2. Using Consentfolio does not, by itself, make your website legally compliant with GDPR, PECR/ePrivacy, CCPA/CPRA, or any other law or regulation, and we give no warranty or guarantee that it will. Compliance depends on many factors that are outside our control and that are your responsibility — including the other cookies, tags, and scripts your site loads, your privacy and cookie notices, your legal basis for processing, and how you choose to configure and deploy the banner. Nothing in the Consentfolio documentation, dashboard, or these Terms constitutes legal advice. You remain solely responsible for determining what consent and disclosure your own website requires, and for configuring Consentfolio accordingly.

Not a Google-certified CMP. Consentfolio supports Google Consent Mode v2 for Google Analytics 4 and Google Ads. Consentfolio is not currently a Google-certified Consent Management Platform (CMP), and is therefore not suitable for publishers using Google AdSense or Google Ad Manager, which require a certified CMP under Google's EU user consent policy. If you run AdSense or Ad Manager, you should not rely on Consentfolio to meet that specific requirement.

Best-effort receipt delivery. Consent receipts are transmitted from a visitor's browser to Consentfolio's servers on a best-effort basis. Delivery can be prevented by factors outside our control, including ad blockers, browser extensions, network conditions, or a visitor closing the page before an unload-time send completes. Consentfolio is not liable for consent receipts that fail to reach its servers for these reasons; see adblock-itp.md for technical detail.

9. Warranties disclaimer

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except to the extent such warranties cannot be excluded under applicable law.

10. Limitation of liability

To the maximum extent permitted by law, and whether the claim is in contract, tort (including negligence), breach of statutory duty, or otherwise, Consentfolio's total aggregate liability arising out of or relating to the Service is limited to the total fees you actually paid to Consentfolio in the 12 months immediately before the event giving rise to the claim. Consentfolio is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, anticipated savings, data, or goodwill, however caused, even if advised of the possibility. The Service is a self-service tool that you configure and are responsible for; Consentfolio is not liable for your own compliance decisions or for how you configure or deploy the banner.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.

11. Indemnity

You agree to indemnify and hold Consentfolio harmless from claims, damages, and reasonable expenses arising from your breach of these Terms, your misuse of the Service, or your violation of applicable law in connection with your use of the Service.

12. Termination & suspension

  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period as described in Subscriptions & billing.
  • We may suspend or terminate your access if you materially breach these Terms (including the Acceptable use section), fail to pay fees when due beyond the applicable grace period, or if required to do so by law.
  • On termination, your data is retained and handled per our retention page and DPA — it is not deleted immediately, and you can generally export it before final deletion.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where mandatory consumer-protection law gives you the right to bring proceedings elsewhere. Before bringing any claim, the parties will first attempt in good faith to resolve the dispute.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you (for example, by email or an in-app notice) before the change takes effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. The "last updated" date at the top of this document will reflect the most recent revision.
